These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and INTELLIGENXE INC. (“INTELLIGENXE,” “we,” “us,” or “our”) governing your access to and use of INTELLIGENXE’s website at intelligenxe.com, together with all content, documentation, and materials published on it (the “Website”).

By accessing or using the Website, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must immediately discontinue use.

These Terms govern the Website only. INTELLIGENXE’s platforms are governed by their own separate terms — see §7.

1. Eligibility and Authority

You represent and warrant that:

  • You are at least the age of majority in your jurisdiction; and
  • You have the legal capacity and authority to enter into these Terms; and
  • If you are using the Website on behalf of an entity, you are authorized to bind that entity to these Terms

2. Permitted Use of the Website

Subject to your compliance with these Terms, and subject to the open license in §5, INTELLIGENXE grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Website for lawful and informational purposes.

Except for content expressly licensed under CC BY 4.0 in §5, which you may use on that license’s terms, you shall not:

  • Copy, modify, distribute, sell, or lease any part of the Website
  • Use automated systems (bots, scrapers) without authorization
  • Interfere with or disrupt the integrity or performance of the Website
  • Use the Website in violation of any applicable law

3. Informational Use Only; No Professional Advice

The Website is provided solely for informational and educational purposes.

Nothing contained on the Website constitutes:

  • Investment advice
  • Financial advice
  • Legal advice
  • Strategic, operational, or professional advisory services

INTELLIGENXE is not a registered broker, dealer, investment advisor, or fiduciary. You are solely responsible for evaluating and verifying any information before relying on it.

Analyses, evaluations, projections, and other content on the Website — including descriptions of the potential benefits or performance of the innovations described in §5 — may contain forward-looking statements and estimates that involve significant uncertainty. Forward-looking statements are not guarantees of future performance, and actual outcomes may differ materially from those expressed or implied.

Nothing on the Website is a recommendation to buy or sell any security, and none of it should be relied upon as the basis for any investment decision. Any investment decision you make is your own.

4. No Offer or Solicitation

Nothing on the Website constitutes an offer, solicitation, or recommendation to buy, sell, or otherwise transact in securities or financial instruments.

5. Open Innovations: OFIP, OPTIMAL FUND, AI-TRADER, and WSP

INTELLIGENXE’s four innovations — OFIP, OPTIMAL FUND, AI-TRADER, and the WALL STREET PROTOCOL (WSP) — are open source. Their documentation and digital archives are published on the Website and are disclosed there in full.

The content published on the Website describing these four innovations is provided by INTELLIGENXE under the Creative Commons Attribution 4.0 International License (CC BY 4.0). You are free to share and adapt that content, including for commercial purposes, provided you give appropriate credit to INTELLIGENXE, provide a link to the license, and indicate whether changes were made.

INTELLIGENXE has publicly disclosed the provisional patent applications underlying OFIP and OPTIMAL FUND, and does not assert those applications, or any patent rights arising from them, against any person who implements, uses, or builds upon these four innovations.

This section applies to the content published on the Website describing these four innovations. It does not apply to any other content on the Website, to INTELLIGENXE’s platforms (§7), or to INTELLIGENXE’s trademarks and branding (§8).

6. Consulting Services

INTELLIGENXE offers consulting and advisory engagements. Content on the Website describing those services is marketing material only. It is not an offer, a proposal, or a commitment to perform work, and it does not describe the terms on which any engagement would be performed.

Any consulting engagement is governed exclusively by a separate written agreement signed by INTELLIGENXE and the client. In the absence of such an agreement:

  • No advisory, consulting, fiduciary, or professional relationship is created by your use of the Website
  • No engagement exists, and no services are owed to you
  • Nothing on the Website may be relied upon as advice given to you

7. Other INTELLIGENXE Properties

The Website links to two platforms owned by INTELLIGENXE. Neither is governed by these Terms.

Strategist — INTELLIGENXE’s proprietary platform, hosted at https://strategist.intelligenxe.com, including any path or subpage with this base URL, and at any successor, associated, or redirected URL, together with all related software, models, tools, content, outputs, and services. Your access to and use of Strategist is governed by the Strategist Platform Terms of Use at https://strategist.intelligenxe.com/terms, which you accept when you register for an account.

Strategist-OSS — a different and independent open-source platform, published in the INTELLIGENXE GitHub organization at github.com/intelligenxe. Any person who uses, copies, or contributes to Strategist-OSS is subject to the Contributor Terms and Conditions and to the license stated in the applicable repository.

Nothing in these Terms grants you any right in Strategist or in Strategist-OSS.

8. Intellectual Property

8.1 Ownership

Except as expressly provided in §5, the Website, including all software, design, text, graphics, and underlying technology, is owned by INTELLIGENXE or its licensors and is protected by applicable intellectual property laws.

8.2 Restrictions

Except as expressly permitted by these Terms or by the CC BY 4.0 license in §5, you may not use INTELLIGENXE’s trademarks, branding, or proprietary materials without prior written consent. Trademark rights are not licensed under CC BY 4.0.

9. Third-Party Services and Content

The Website may incorporate or link to third-party websites, data sources, APIs, or services.

INTELLIGENXE:

  • Does not control or endorse third-party content
  • Makes no representations regarding its accuracy or legality
  • Disclaims all liability arising from your use of such third-party services

References to third parties do not imply affiliation, sponsorship, or endorsement.

10. Privacy

INTELLIGENXE does not guarantee the confidentiality or security of any information transmitted through the Website.

While the Website does not intentionally deploy cookies, certain technical data (e.g., logs, session data) may be collected as part of normal operation.

Use of the Website is at your own risk with respect to data privacy.

11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS.

INTELLIGENXE EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY, RELIABILITY, OR COMPLETENESS

WE DO NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTELLIGENXE SHALL NOT BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
  • ERRORS OR OMISSIONS IN CONTENT

ARISING OUT OF OR RELATED TO YOUR USE OF THE WEBSITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL INTELLIGENXE’S TOTAL LIABILITY EXCEED TEN CANADIAN DOLLARS (CAD $10).

13. Indemnification

You agree to defend, indemnify, and hold harmless INTELLIGENXE and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, and expenses arising from:

  • Your use or misuse of the Website
  • Your violation of these Terms
  • Your reliance on Website content
  • Your violation of any law or third-party rights

14. Modifications

We may modify these Terms at any time. Updated Terms will be posted on the Website with a revised “Last Updated” date.

Your continued use constitutes acceptance of the updated Terms.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein.

You agree to the exclusive jurisdiction of the courts located in Alberta, Canada.

16. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and INTELLIGENXE with respect to the Website
  • Severability: If any provision is found unenforceable, the remainder shall remain in effect
  • No Waiver: Failure to enforce any provision shall not constitute a waiver
  • Assignment: You may not assign these Terms without prior written consent
